Conditions
We recognise that photography has behind-the-scenes processes before and after the photo session that clients may not be aware of. That's why we're committed to offering clear and transparent information to ensure you feel confident and at ease. Your comfort and understanding are our highest priority!
We have terms and conditions to clearly outline the rights, responsibilities, and expectations for both you and our photography business. These T's & C's help protect your interests by ensuring transparency in our services, payment policies, and usage rights for your images. They also provide legal protection for both parties, helping to prevent misunderstandings and disputes. Ultimately, having clear terms and conditions helps us deliver a professional and satisfactory experience for all our clients and uphold the professional standards in our industry.

In these terms and conditions:
Janene Cissi – Forever Portrait Photography; Standard Photographic Terms & Conditions of Engagement
Effective Date: January 1st, 2022.

1. Definitions
1.1 “Provider” "Photographer" means Forever Portrait Studio, its successors and assigns, or any person acting on behalf of and with the authority of Forever Portrait Studio.
1.2 “Client” means the person(s) engaging the services of the Provider for photography or related services as specified in any invoice, document, or order. If there is more than one Client, the reference shall apply jointly and severally.
1.3 “Services” means all photography services, products, and any related goods provided by the Provider to the Client at the Client’s request from time to time.

1.4 “Price” means the total amount payable for the Services, which is selected by the Client from the options provided by the Provider.
​
1.5 “Business Day” means a day that is not a Saturday, Sunday, or public holiday.
​
RESERVATIONS & SCHEDULING
Booking Payment of a nonrefundable Booking Fee, and execution of this Agreement is
required to reserve the Photo Session.
​
Payment, Non-Payment, and Travel Costs
Session booking Fee will be made at the time of your confirmation to reserve the artist/s and studio. If payment is not
received in accordance with the payment due dates, the Agreement may be voided by Photographer. Travel costs and or additional expenses will be approved as needed between parties and will be billed separately.

​Studio Credit and Gift Vouchers

Non-Transferability: Studio credit and gift vouchers are non-transferable.

Redemption Policy: Studio credit and gift vouchers cannot be redeemed for cash or any cash-equivalent value.

Usage Requirement: All studio credit and gift vouchers must be used during the initial viewing session. Any credits or vouchers not redeemed during this session will be forfeited.

Limitations on Use: Only one studio credit or gift voucher may be applied per session for purchase orders.

Gift Cards
We cannot accept returns or refunds for cash on gift cards.
​
Rescheduling and Cancellation To reschedule, the Client will be granted (1) complimentary date change. After
this the client is required to submit to a new agreement, subject to an
additional Booking Fee and any pricing changes, unless the reschedule was
due to a service interruption as provided in this Agreement.

Location
Client is responsible for acquiring necessary permits and/or permission for locations.
​
Cancellations
For cancellations with less than 48hours notice, the Booking Fee becomes nonrefundable, and Client will be responsible for nonrefundable travel costs
and/or expenses incurred.

Cancellation Policy
If the client needs to cancel the session, written notice must be provided at least 48 hours prior to the scheduled shoot date. Failure to provide written
notice will result in a cancellation fee of the full session fee.
​​
​
No-Shows
Policy In the event that a client fails to attend a scheduled [session/consultation/meeting] without providing adequate notice (as defined above), the client shall be deemed a "no-show" and shall be responsible for paying 100% of the full session fee.
​
IMAGES DELIVERY AND RIGHTS
Image Delivery Photographer will select images based on its artistic discretion to show the Client. A minimum number of images is not guaranteed. Photographer may accommodate standard editing requests of the selected images, but is not required to do so. Images, portraits and collections will be chosen at will by the client at a separate scheduled ordering and viewing appointment with the photographer and are not included with the Booking fee or Photo session. To place an order, a half deposit amount of the total is required. Archival of the images is the responsibility of the Client.

Client’s Use of Images
Client shall use images for personal use only, and not allow third-party use without permission, or manipulate or alter the image in any way.
Photographer photo credit is required for online posts.
​
Photographer’s Use Image Rights
Photographer retains all copyrights to all images. Client agrees that Photographer may use images for its own promotional and marketing
activities.
​
Products and Prints Images,
Portraits and collections are purchased separately and will be chosen at will by the client at a separate scheduled ordering and viewing appointment
with the photographer and are not included with the Booking session fee or Photo session. To place an order, a 50% deposit of the total amount is
required. Archival of the images is the responsibility of the Client.
Shipping and Handling

Shipping and handling fees are included for deliveries from Italy to Forever Portrait Studio, New Zealand only.

Please note that the shipping and handling included in your order is to the studio only and does not cover any additional courier fees for shipments from our studio to your chosen destination within New Zealand.

It is the client's responsibility to cover any courier costs associated with deliveries from the studio to the specified destination after the initial shipping from Italy to New Zealand.

Image Processing and Retouching
Every print purchased includes standard retouching and editing processing. This includes adjustments to colour balance, contrast, brightness, and
saturation levels, basic editing such as removing blemishes, shadow correction, and other imperfections from the subject's skin without dramatically
altering it from its original capture. If you require more than what is standard retouching time this will be discussed and quoted separately.

DISPUTES
Dispute Resolution Any dispute shall be brought to the attention of the photographer and the client shall endeavour in good faith to resolve any dispute between themselves and the photographer within (10) working days. After this any dispute shall be brought within the photographers jurisdiction of
Photographer’s principal place of business and the local law shall apply. Any potential legal damage for any claim shall not exceed the total cost of the
Photo Session.

LIMIT OF LIABILILTY
Client Risks Client acknowledges that the Photo Session may expose the Client to risks, such as COVID–19, hazards, and other dangers that cannot be anticipated, known, controlled, or eliminated, or are created by Client’s own doing. Client assumes such risk.

Dangerous Conditions
Photographers retain the right to stop the Photo Session, deny any photo request, or reschedule services if Photographer feels to be in danger.
Minors and Pets Minors shall be accompanied by a parent or guardian. Photographer is not responsibility for safety or care of minor children or pets who may be subjects of or present at the Photo Session.Service Interruptions Should services be cancelled, postponed, or otherwise adversely impacted because of a force majeure event (including but not limited to Acts of God, including fire, flood, earthquake, storm, hurricane or other natural disasters, pandemic or epidemic, Government restrictions and/or any other cause beyond the reasonable control of the parties), no refunds will be made for the Booking Fee and payments already received by the Photographer. Photographer will use all reasonable efforts to reschedule.

Interruptions Policy
In the event of any interruptions, including but not limited to, unexpected visitors, phone calls, or other distractions, the Photographer reserves the
right to pause or terminate the session if necessary. The Client understands that any disruptions may affect the quality and outcome of the photographs. The Photographer's exclusive access to the studio and session time is a condition of this agreement.

General Release
A reshoot will be provided as the sole remedy if all images damaged in processing, lost through camera malfunction, or otherwise lost or damaged
prior to the delivery of the final images.

Session Payment Terms
The total session fee is due in full before the shoot date. The Portrait Session breakdown is as follows:
• Portrait Session fee NZ$ 590.00.
• Hairstyling and Makeup per person NZ$250 per person (travel not included)
• Studio credit - NZ$100
• Additional Hairstyling and Makeup services per person- NZ $250

Session Booking Fee
The session booking fee is due before or at the time this agreement is signed. Photographer shall not commence work on the portrait session until the retainer fee is received. The client understands the Retainer Fee paid by the Client covers the Photographer's time and expertise during the booked session, but does not include any physical products or tangible items.

Payment Methods
Payments can be made by bank transfer, debit/credit card, or cash. Please note that a 2.5% surcharge applies to credit card transactions.

Late Payment
If the full payment is not received by the due date, we will hold all products and services until payment is made in full.
​
Additional Fees
Any additional services or products requested during the session must be paid for on the spot. Extra prints, editing service costs will be discussed and agreed with client before proceeding.

Refunds
We do not offer refunds or exchanges if you change your mind once an order has been placed and processed.
​​

Copyright and Use of Images
The photographs produced by Photographer are protected by copyright and Client is granted a limited use license only. Client agrees to use the images for non-commercial purposes only and shall not sell, reproduce, or publish the images for profit without the prior written consent of Photographer.
Photographer photo credit is requested for online posts.By signing this Agreement, Client acknowledges that they have read and understand this Agreement and agree to be bound by its terms.​

Model Release
Client hereby grants permission to Photographer to use the images for promotional purposes, including but not limited to, use on websites, social
media, and advertising materials. Client agrees to a model release granting Photographer the right to use the images for promotional and marketing
activities. The client understands being able to share the photographs is an essential part of running a photography business.
​
Exclusive Access to Studio and Session Time
The Client acknowledges that the Photographer will have exclusive access to the studio and session time booked for the duration of the scheduled session. During this time, no other photographer or individual shall be permitted to use or take photos in the studio. The Photographer's exclusive access to the studio and session time is a condition of this agreement. Liability Photographer shall not be liable for any technical issues, loss of images due to technical problems, or any other circumstances beyond Photographer’s control. Client is responsible for the behaviour of any person accompanying them to the shoot, including children. Session Timeframe The Client agrees to ensure that all necessary participants (models, family
members, etc.) are present and ready to begin the session at the scheduled start time. Any delays or cancellations by the Client may result in reduced
session time or additional fees.

Overtime Terms
If delays occur due to factors beyond my control, including but not limited to inclement weather, traffic, or unexpected circumstances, you will not be
charged for overtime. The Photographer reserves the right to use discretion when determining whether a situation constitutes overtime. The Photographer's determination of whether a situation constitutes overtime is final and binding.

Overtime Policy
Overtime is defined as any time worked beyond the agreed-upon scheduled start and end times for the photo shoot. Overtime includes, but is not limited to, additional hours spent waiting for you or your party to arrive or depart, taking extra photos, or making adjustments to accommodate changes in the shoot/editing schedule. The standard rate for overtime for a photographer is $150 per hour and $80 for a makeup artist. You will be charged for all overtime hours worked per artist, rounded up to the nearest quarter hour (15 min).

Alternative Arrangements
In the event that an unexpected interruption occurs, the Photographer will work with the Client to reschedule or adjust the session as needed. However, this is subject to availability and may incur additional fees.

Artists' Rights and Compensation
As a professional photography service, we firmly believe in the value of creative work and the rights of artists to receive fair compensation for their efforts. By engaging in our services, you acknowledge that the artistry involved in photography entails both skill and substantial investment in time, resources, and expertise. Therefore, we uphold the principle that there is no such thing as a "free lunch." All services rendered, including but not limited to government taxes, insurance, studio rental, equipment, planning, shooting, editing, and delivering images, require compensation that reflects the quality and commitment of our work. We appreciate your understanding and support in valuing artistic contributions through fair payment practices.

Responsibility for Reading Terms and Conditions
By engaging with our services, you acknowledge that it is your responsibility to read and understand the terms and conditions outlined herein. We have made all relevant information publicly available for your reference. While we strive to provide clarity and transparency, we cannot be held responsible for any misunderstanding or lack of comprehension of the content presented. If you have any questions or require further clarification on matters not addressed on our website, we are committed to assisting you and will endeavour to provide clarity. Your engagement is appreciated, and we seek to ensure a clear understanding of our policies and practices.

Quid Pro Quo - Equal or Greater Value Exchange
By using our website and services, you are that all exchanges or transactions should be fair, meaning the value exchanged is equal to or more than what is received. Everyone should offer something of similar or greater worth the ensure fairness. We reserve the right to review and verify the fairness of any exchanges or transactions and to take appropriate actions if imbalance or unfair practice is suspected.
Disclaimer: We are not responsible for disputes arising from perceived inequities in value exchanges. Participants are encouraged to engage honestly and transparently in all dealings. Including reviewing publicly available Terms and Conditions published on this website.

1. INSTRUCTIONS MUST BE IN WRITING
1.1 The Client must ensure that all instructions and expectations regarding the Booking/Order (including any variations) are provided in writing.
2. LICENCE GRANTED TO THE CLIENT
2.1 Except as expressly provided in the Agreement, copyright in all Photographic Works resulting from the Booking/Order remains the property of the Photographer. The Photographer does not accept commissions to create Photographic Works. These terms override section 21(3) of the Copyright Act 1994.
2.2 The Photographer grants the Client a non-exclusive Licence to use the selected portions of the Photographic Works presented by the Photographer. This Licence includes rights to reproduce and publish for the purposes, territories, and timeframes specified in the Booking/Order, subject to these terms. Further Licences may be sought for reuse or additional uses, which shall not be unreasonably refused but may incur a reasonable fee.
2.3 If the Photographic Works are produced for an Advertiser named in the Agreement, usage rights are limited to that Advertiser. The Client must ensure the Advertiser complies with all obligations.
2.4 The Photographer retains the right to use the Photographic Works globally and for purposes such as:
- entering works into competitions and promoting those;
- advertising or promoting the Photographer’s work (including via social media);
- displaying works in galleries or other venues;
- any other business-related purpose.
3. CONDITIONS OF LICENCE
3.1 The Licence commences upon full payment of all amounts due, unless the Photographer provides written permission otherwise.
3.2 The Licence is not assignable without prior written consent but may be sublicensed to the named Advertiser under the same terms.
3.3 The Client may manipulate, distort, or make alterations to the Photographic Works unless expressly excluded in the Agreement, and may use only a portion of the Works.
3.4 Copyright in any derivative works remains with the Photographer and is licensed under the same terms.
3.5 Any breach that damages the Photographer’s reputation entitles the Photographer to seek compensation.
4. ASSIGNMENT OF COPYRIGHT
4.1 If specified in the Agreement, the Photographer assigns copyright upon full payment:
a. From the date of full payment;
b. The Client is responsible for obtaining necessary model and rights waivers;
c. The Client indemnifies the Photographer against claims arising from use;
d. Rights described in clauses 2.4 and 5 remain with the Photographer.
5. MORAL RIGHTS
5.1 The Photographer asserts moral rights including attribution, unless waived in writing. The Client must credit the Photographer appropriately in all uses.
5.2 Failure to attribute incurs a fee of 200% of the Photographer’s fee, acknowledged as a fair estimate of loss.
6. DATA PRESERVATION
6.1 The Client must not remove or alter rights notices attached to the Photographic Works and must respect copyright and restrictions.
6.2 The Client shall not defeat access restrictions.
7. STORAGE AND BACKUPS
7.1 The Client is responsible for storing and backing up the Photographic Works. The Photographer’s backups are not guaranteed but may be provided for a fee.
8. PRIVACY AND PERSONAL INFORMATION
8.1 The Photographer may collect and retain personal information for communication, marketing, and these Terms.
8.2 The Client authorizes such collection and use.
8.3 The Client may access or correct their information.
8.4 The Photographer will obtain necessary consents under the Copyright Act if applicable.
9. PAYMENT
9.1 The Client shall pay all amounts according to the Booking/Order and Agreement. Deposits or partial payments may be required upfront.
9.2 Final payments are due within 7 days of invoice unless specified otherwise.
10. JOB-RELATED COSTS
10.1 The Client shall purchase or reimburse Job-Related Costs, including any additional charges for third-party payments.
10.2 Such costs remain the Photographer’s property unless otherwise agreed.
11. URGENT WORK
11.1 The Photographer is not liable for delays or costs arising from urgent requests or deadlines.
12. CHANGES TO THE ESTIMATE
12.1 Estimates are provisional and may increase by 10% or more; the Photographer will notify the Client of significant increases.
13. OVERDUE PAYMENTS
13.1 Outstanding amounts accrue interest at 2.5% per month, and the Photographer may recover collection costs and suspend further work.
14. CANCELLATION
14.1 Cancellations must be in writing and reasonable notice given. Cancellations within 1 day incur 100% of fees; within 3 days, 50%; within 1 week, 25%.
14.2 All Job-Related Costs incurred up to cancellation are payable.
15. POSTPONEMENT
15.1 Postponements attract fees based on notice period: 50% of daily fee for 1 day or less; 25% for more than 1 day. All costs remain payable.
16. WEATHER CONDITIONS
16.1 Weather-dependent bookings require prior agreement. Cancellation due to weather involves payment of costs incurred plus 50% of the fee.
17. WORK SUSPENSION
17.1 If work is suspended for 30 days or more, the Client must pay for work in progress and costs incurred.
18. CONTRACTORS AND MODELS
18.1 The Client is responsible for payments and obtaining necessary releases from contractors or models.
19. CLIENT PROPERTY AND MATERIALS
19.1 Client property is at their risk; the Photographer is not responsible for maintenance or insurance. Unclaimed items may be disposed of after six months.
20. CONFIDENTIALITY
20.1 The Client must specify any confidential material, and the Photographer will keep such information confidential.
21. INDEMNITY
21.1 The Client indemnifies the Photographer against claims arising from breaches, illegal or defamatory use, or infringement of rights.
22. COLOUR VARIATION
22.1 The Photographer is not liable for colour reproduction issues or fading over time.
22.2 Proper storage and preventing fading is the Client’s responsibility. Note: Prints and products stored in and near UV sunlight or exposed to strong sunlight will be damaged, even for the most premium products, due to the intensity of the sun.
23. QUALITY OF WORK
23.1 Works not of acceptable quality may be rectified at no extra charge; otherwise, no fees are due.
23.2 Acceptance may be based on a representative’s approval at the shoot.
23.3 Acceptance of style and interpretation is deemed given if consistent with prior work.
23.4 Disputes over artistic interpretation will be settled by a recognised photographic association’s decision.
24. CONSUMER GUARANTEES ACT 1993
24.1 The Act applies if works are for personal use; otherwise, rights are governed by the Agreement.
25. LIMITATION OF LIABILITY
25.1 The Photographer is not liable for delays, loss of profits, or consequential damages, except as provided under the Act.
26. LIMIT OF LIABILITY
26.1 The Photographer’s liability is limited to the amount paid under the Agreement.
27. HEALTH AND SAFETY
27.1 The Client is responsible for health and safety and must comply with the Photographer’s directions.
28. FORCE MAJEURE
28.1 Neither party is liable for failure or delays caused by events outside their control (e.g., natural disasters, conflict, government intervention).
29. DISPUTE RESOLUTION
29.1 Parties will attempt to resolve disputes in good faith before legal action.
29.2 Disputes must be notified in writing and discussed within 3 working days; litigation can only proceed after 14 days of negotiation.
30. CONFLICTS
30.1 In case of conflict, the Booking/Order takes precedence over these Terms.
31. GOVERNING LAW
31.1 These Terms are governed by New Zealand law, and disputes are subject to NZ courts.
32. ENTIRE AGREEMENT
32.1 The Booking/Order, these Terms, and any written amendments constitute the entire agreement.
32.2 Each Booking/Order forms a separate contract.
Definitions:
- Advertiser: End user for whom the Photographer produces the works via an agency or intermediary.
- Agreement: The combined Booking/Order, Terms, and any written amendments.
- Booking/Order: The Client’s request for photographic services.
- Client: The person or entity engaging the Photographer.
- Job-Related Costs: Expenses incurred by the Photographer on behalf of the Client.
- Licence: The rights granted to use the Works.
- Photographic Works: The deliverables specified in the Booking/Order.
- Photographer: means the photographer and where the context requires may
include, the studio, photographic company, employees or sub-contractors.
- Price List: means the Photographer’s list or schedule of prices for goods and
services at the date of the Agreement.

Unauthorized Use, Reproduction, and Distribution
The Client acknowledges and agrees that all images, photographs, and digital files provided by the Photographer are protected by copyright law and remain the exclusive property of the Photographer. The Client shall not, under any circumstances, reproduce, copy, screen capture, distribute, modify, or otherwise use the Photographic Works beyond the scope of the rights granted herein, without prior written consent from the Photographer.
Unauthorised reproduction, theft, or distribution of the Photographic Works is strictly prohibited and may result in legal action, including but not limited to injunctive relief and damages. The Client agrees to take all reasonable measures to prevent unauthorized copying or sharing of the Photographic Works.

- Photographer" or "Studio" means Forever Portrait Studio and its employees, contractors, or agents.
- "Client" means the individual or entity engaging the Studio’s services.
- "Images" refers to the photographs, digital files, prints, or other deliverables produced during the session.
- "Usage Rights" means the rights granted to the Client to use the Images as specified in this agreement.

2. Booking, Payment, and Cancellation
- A non-refundable Booking Fee is required to secure your session date. This fee will be credited toward the cost of the photography session itself but does not apply to or cover any products, prints, or digital deliverables. The Booking Fee cannot be transferred or refunded if you cancel or reschedule within 48 hours of the scheduled appointment.
- Cancellations must be in writing and reasonable notice given. Cancellations within 1 day incur 100% of fees; within 3 days, 50%; within 1 week, 25%.
- Full payment is due before the session begins unless otherwise agreed.
- Rescheduling requests are subject to availability and may incur additional fees if outside the first free reschedule.
- Cancellations made less than 48 hours before the session will forfeit the Booking Fee and may incur additional costs for any expenses already incurred.

3. Rescheduling & Postponements
- The Client may reschedule once free of charge, provided the new date is mutually agreed upon and subject to availability.
- Additional reschedules or cancellations within 7 days may be subject to fees or loss of deposit.
​
4. Location & Permits
- The Client is responsible for obtaining all necessary permits and permissions for locations used during the session.
- The Studio is not liable for delays or cancellations caused by location restrictions or permit issues.
​
5. Client Conduct & Safety
- Clients are responsible for their conduct and that of any minors or accompanying persons.
- The Studio reserves the right to refuse service or terminate the session if safety concerns arise or conduct is inappropriate.

6. Images Delivery & Usage Rights
- The Studio will select and edit Images at its artistic discretion. A minimum number of images is not guaranteed.
- The Client is granted a personal, non-commercial license to use the Images solely for personal use (e.g., printing, sharing with family/friends).
- Commercial, promotional, or third-party use requires prior written permission and may incur additional licensing fees.
- The Client shall not alter, manipulate, or make derivative works of the Images without prior consent.
- The Studio retains all copyrights unless explicitly transferred via separate agreement.
- "Restriction on Sharing Behind-the-Scenes Content"
The Client has the right to request that any behind-the-scenes videos, short reels, or other candid footage featuring the Client not be shared on social media, websites, or promotional platforms. Such requests must be submitted in writing prior to the shoot. The Photographer agrees to respect these restrictions and will not share or publish any behind-the-scenes content of the Client that has been explicitly restricted.
- Behind-the-Scenes Footage and Sharing Policy. Any content captured during the shoot that is intended for public sharing will be considered public content. Unless explicitly requested in writing prior to the shoot, the client agrees that such behind-the-scenes footage may be shared by the photographer/videographer for promotional, portfolio, or social media purposes.
If the client wishes to restrict the sharing of any behind-the-scenes content, they must provide a written request before the shoot. Such requests will be respected, and the specified content will not be shared without further consent.

7. Client’s Use & Restrictions
- Images must not be sold, distributed, or used for commercial purposes without prior written approval.
- The Client agrees to credit the Studio when sharing Images online.
- Unauthorized reproduction, theft, or distribution of Images is strictly prohibited and may result in legal action.

8. Model & Location Releases
- The Client warrants that they have obtained necessary model releases and location permits where applicable.
- The Studio may use Images for promotional purposes unless the Client explicitly requests otherwise in writing.
​
9. Intellectual Property & License
- The Studio retains full ownership of all Images.
- A limited license is granted to the Client for personal use only, valid until termination of this agreement.
- Any commercial use, reproduction, or alteration beyond this license requires prior written consent and may involve additional fees.

10. Liability & Indemnity
- The Studio shall not be liable for technical issues, delays, or damages beyond its control, including but not limited to equipment failure or external disruptions.
- The Client agrees to indemnify and hold harmless the Studio against claims arising from misuse of Images or breach of these Terms.
​
11. Data Privacy & Storage
- The Studio will handle personal information in accordance with New Zealand privacy laws.
- The Client may request access or correction of their data.
- The Studio’s backups of digital Files are not guaranteed; Clients are responsible for their own backups.
​
12. Dispute Resolution & Law
- Any disputes shall first be attempted to resolve through good-faith discussions.
- If unresolved, disputes will be mediated or arbitrated in New Zealand under NZ law.
- In legal proceedings, the Court of New Zealand will have jurisdiction.
​
13. Force Majeure
- The Studio is not liable for delays or cancellations caused by events beyond its control, including natural disasters, pandemics, government restrictions, or other force majeure events.
- In such cases, rescheduling will be attempted where possible.
​
14. Miscellaneous
- This Agreement constitutes the entire understanding between the Parties.
- Any modifications must be in writing and signed by both parties.
